Goal and Strategy

The Schwab MarketTrack All Equity Portfolio seeks high capital growth through an all-stock portfolio. The portfolio provides investors with exposure to a broad mix of stock investments in one portfolio, and seeks to remain close to the target allocations of 45% U.S. large-cap, 30% international, and 25% U.S. small-cap stocks. The portfolio managers monitor the portfolio's holdings and cash flow and manage them as needed in order to maintain the portfolio's target allocation.

Trades in MarketTrack shares are available without transaction fees when placed through schwab.com or our automated channels. For each trade order placed through a broker, a $25 service charge applies. A 2% contingent redemption fee applies for shares exchanged or sold within 30 days of purchase. This fee is paid directly to the portfolio. Schwab and its affiliates also receive fees from the Schwab Affiliate Funds for investment advisory, administrative and transfer agency services, as well as shareholder and other fund services. The aggregate fees Schwab or its affiliates receive from Schwab Affiliate Funds (see fund prospectuses for more details) are greater than the remuneration.

Schwab and the investment adviser have agreed to limit the "net operating expenses" (excluding interest, taxes and certain non-routine expenses) of the Portfolios to 0.50% for so long as the investment adviser serves as the adviser to the Portfolios. This agreement is limited to the Portfolios' direct operating expenses and, therefore, does not apply to acquired fund fees and expenses, which are indirect expenses incurred by the Portfolios through its investments in the underlying funds. This net operating expense agreement may only be amended or terminated with the approval of the Portfolios' Board of Trustees.
